Looking to bolster its security offerings, Clearswift, a UK maker e-mail management software with U.S. headquarters in Waltham, Mass., is offering $30 million for Content Technologies, a subsidiary of Baltimore Technologies.
If approved by shareholders, the deal would create a significant player in e-mail and Web secure content management field.
"We will be the only company with products, services and sales channels to meet the needs of customers of all sizes and levels of complexity," said Don Taylor, Clearswift's CEO. "Complementary products, channels, geographic coverage and management skills provide an excellent fit."
Clearswift was created in 2001, when experienced new management, a $10 million investment and international offices were added to the 19-year-old NET-TEL organization. Customers include MCI Worldcom, NATO and Standard Life.
"Baltimore believes that there is value in maintaining a shareholding in the new Clearswift -- providing a potentially significant upside," said Bijan Khezri, CEO of Baltimore Technologies.
