SparkNotes.com, an academic resource site that features online study guides on a variety of subjects, was first put up for sale on December 13.
"The companies noted that definitive documents have not yet been signed. There are no assurances that a definite purchase agreement will be reached or that, if any agreement is reached, the divestiture will be consummated," Delias said in a statement.
The proposed transaction with Barnes & Noble comes just one day after Delias (NASDAQ: DLIA) sold off the assets of its TSI Soccer subsidiary to an undisclosed bidder. Terms of that transaction were also kept under wraps.
Delias is also looking to sell its Storybook Heirlooms, gURL.com, TheSpark.com and SparkMatch.com Web sites, but the company maintains it has no plans to exit from the Internet e-commerce scene.
Delias spokesperson Amanda Mullin said the company does not intend to depart from the e-commerce business.
She said that Delias.com, an e-commerce property, remains "a key component to our multi-channel retailing efforts, and we continue to expand this e-commerce business in tandem with our catalog business and our retail store base."
