Adero Acquires Starburst

Adero, Inc. Monday announced it has reached a
definitive agreement to acquire StarBurst Software.

Financial terms were not disclosed, but holders of sufficient shares of capital stock of StarBurst Software have
already agreed to vote in favor of and approve the merger. Adero expects the
merger to be consummated on or about March 30, 2000, subject to closing
conditions.

Adero will embed the patented technologies of StarBurst’s Omnicast and
Autosync Software into Adero’s GlobalWise Network and Services for content
and applications distribution and e-commerce. The StarBurst Software
services enable Adero to deliver content and intelligence to the edge via any
IP network regardless of whether it is via the public Internet, a satellite
or wireless RF network or any combination thereof, the companies said.

Customers will be able to simultaneously distribute time critical content
with guaranteed delivery under their direct control while reducing bandwidth
provisioning and thereby significantly reducing costs, the company said. In addition, the
network monitoring and reporting functionality supplied by the Adero
GlobalWise Service gives customers performance and management information
needed to continuously improve their content distribution and e-commerce
services to customers.

StarBurst Software customers include General Motors, Ford, Chrysler,
Wal-Mart, Kmart, The Gap, Rite Aid, Choice Hotels, Promus Hotels, Optimark,
Nomura Securities, Thomson Securities, Microsoft and WebTV Networks, Inc.,
Dow Jones, Bridge Information Systems, Weather.com and other industry leaders
from a wide array of markets worldwide.

e-businesses on the Internet the ability to reach mass audiences around the
world with the simplicity and dynamics of broadcast television,” said
Jonathan Crane, chief executive officer of Adero. “
