Cardiff Software Acquires Adobe Spin-off AudienceOne

Privately held e-transaction application developer Cardiff Software Inc. acquired AudienceOne Inc., a 1998 spin-off of
Adobe Systems, in an all-stock deal.

Financial specifics were not disclosed.

AudienceOne markets products that enable companies to create and deliver
personalized documents over the Web and through print-on-demand systems.

Cardiff will
continue to develop and sell the AudienceOne Publisher and AudienceOne Press
products, and will add personalized eReply capabilities into Cardiff’s
eTransaction product family.

The deal brings to Cardiff a roster of blue chip customers, including Aon
Corp., Nortel Networks and LexmarkInternational.

Cardiff Software’s products are used to automate the processing of online
transactions, and to transfer forms and documents into database and
e-business applications. With
AudienceOne, businesses can now use incoming transactions and processing
rules to automate out-going customer interactions, the company said.

AudienceOne applications allow for the dynamic creation of personalized 401k,
healthcare and customer enrollment kits, one-to-one marketing and sales
collateral, and customer self-service uses.

Personalized special offer
coupons, receipts and certificates can also be created with a unique barcode
to identify the exact origin of the offer.

“With AudienceOne, Cardiff seamlessly integrates transactions with
high-quality
responses, resulting in a unique online ‘transaction-interaction’ platform
that allows businesses to respond to customers at Internet-speed,” said
Dennis Clerke, president and chief executive officer of Cardiff Software.

Cardiff e-transaction customers include American Express, Blue Cross-Blue
Shield, Colgate-Palmolive, DaimlerChrysler, GMAC and MCI WorldCom.
