    WOODBURY, N.Y., July 5–Comverse Technology , which makes software systems for wireless communications
    systems, said that it would buy a private Israeli start-up called
    Exalink Ltd. for roughly $480 million in stock. Comverse said it would issue about 5.26
    million new shares for Exalink, which
    makes gateways for cellular networks that allow access to other types of
    networks including Internet protocol networks.

    the leading Streaming Media Network, announced its acquisition of
    Server-Side Technologies, a pioneer provider of secure digital media
    hosting and rights management services. The acquisition will enable iBEAM to add to its streaming content
    delivery a new digital rights management capacity, enhancing its leadership
    position in distributing high-value digital media on the Internet. The
    acquisition was valued at approximately $3 million, and accounted for as a

    RICHARDSON, Texas, July 5–Intrusion.com ,
    a global provider of enterprise security solutions, announced the
    acquisition of MimeStar, developer of the advanced network intrusion
    detection software, SecureNet Pro. The acquisition represents a key
    component of Intrusion.com’s
    strategy to provide a full range of security offerings for the protection
    of e-business, Web servers and internal computing systems. Under the terms
    of the merger agreement, Intrusion.com expects to pay $4 million in cash
    and issue 95,969 shares of its stock to MimeStar’s stockholders.

    signing of an agreement to acquire JobDirect.com, a leading online
    college recruitment company exclusively serving clients’ requirements for
    college graduates/entry-level professionals. Using technology and
    leveraging the efficiency of the Internet, JobDirect satisfies the needs of three
    communities: employers, college campus career offices and students. The
    acquisition was part of Korn/Ferry’s

    that it has purchased the remaining 55% interest in wireless application
    service provider, SPEEDIA.COM that it does not already own. SPEEDUS.COM issued 950,000 shares of its
    Common Stock to SPEEDIA.COM’s selling
    shareholders, TIS Worldwide, Inc. and Daniel Doyon. SPEEDIA.COM currently
    supplies wireless web and unified messaging mobile device services globally
    and is a member of Wireless Application Protocol (WAP) Forum, the Palm

    MENLO PARK, Calif., July 5–InterWAVE Communications
    International Ltd.
    said it signed a definitive
    agreement to acquire Ireland’s Microcellular Systems Ltd. in a deal
    valued at $12.5 million. InterWAVE,
    a provider of wireless communications systems, said it will pay $5 million
    in cash and issue 555,556 shares in exchange for Microcellular, which has
    operations in Tralee, Ireland; Bracknell, England; Beijing, China and San
    Diego.

    international e-commerce solutions provider and consumer software
    publisher, announced that it has signed a non-binding letter of intent to
    purchase the outstanding capital shares of privately held interMETHODS
    Limited
    , a London-based Internet systems integrator. Terms were not
    disclosed. Upon completion of this acquisition, interMETHODS is expected to be
    integrated with the operations of interactive design and e-business
    consulting provider, Vizy Interactive London, also known as Junction 15
    Ltd. and a branch of Vizacom’s professional Internet solutions subsidiary
    Vizy Interactive Inc.

    that it has entered into a letter of intent to acquire all of the issued
    and outstanding equity securities of Bl

    ue Dragon Technologies GmbH,
    an information technology business located in Germany, and WebTech
    Ltd.
    , an information technology business located in Bulgaria. Both
    companies are owned by the same shareholders. Under the terms of both
    letters of intent, ASPi Europe
    intends to acquire both companies’ outstanding securities in exchange for
    500,000 shares of common stock and a commitment to fund the companies for a
    combined amount of $1,000,000 upon closing of the acquisitions.
