Jupitermedia Acquires Creatas


Jupitermedia announced today it is acquiring Creatas, the parent company of Dynamic Graphics and PictureQuest, for $38.1 million and 1.4 million restricted
shares of Jupitermedia .


The deal is expected to close in March and make Jupitermedia, the parent
company of internetnews.com, the third-largest company in the world
in the field of selling and distributing stock photography, stock footage
and other imagery.


According to Jupitermedia, the deal will be financed with cash on hand and
borrowings under a credit facility to be obtained in connection with the
transaction.


“Dynamic Graphics’ Creatas, PictureQuest and Liquid Library brands are
widely known worldwide and provide us with thriving sales operations in the
United States, the U.K., Germany and Australia,” Alan M. Meckler, chairman
and CEO of Jupitermedia, said in a statement. “In addition, Dynamic Graphics
Group is one of the leading publishers of magazines and organizers of
seminars and tradeshows for stock photo and graphics professionals. We expect
that this acquisition will be accretive to our earnings.”


Dynamic Graphics Group offers a number of resources for the graphic design
Community, including royalty-free and rights-managed stock image content,
royalty-free subscription image services, trade publications and creative
services events and training.


The company distributes royalty-free content through its Creatas brand.
Dynamic Graphics Group also includes PictureQuest, an image resource
distributing more than 500,000 royalty-free and rights-managed images from
more than 50 photo agencies.


Dynamic Graphics Group also provides images through its professional
subscription images service, Liquid Library. The company publishes STEP
Inside Design Magazine
and Dynamic Graphics Magazine, as well as the SBS Digital
Design
and Photoshop Fix newsletters.


In addition, the company offers design workshops and seminars through its
Dynamic Graphics Training.
