Vignette Acquires Diffusion

Vignette Corp. Tuesday acquired Diffusion Inc., a provider of information delivery solutions, in an effort to strengthen its Internet relationship management offerings and broaden the capabilities of its StoryServer product.

Vignette said the acquisition will allow companies to exchange information with their customers through a variety of media, including Web, e-mail, fax telephone and pager.

Vignette will exchange about 400,000 of its shares for all the outstanding stock of Diffusion. Based on Monday’s closing price of 82-1/4, the deal is valued at $32.9 million. Vignette expects the deal to close by June 30.

Greg Peters, Vignette’s president and chief executive officer, said the acquisition will allow the company’s clients to better interact with their customers.

“Through the integration of Vignette StoryServer and the Diffusion information delivery server, we are enhancing our customers’ ability to interact in real-time with their online customers,” he said.
