CMR to Acquire Jupiter’s AdSpend Data Report

Competitive Media Reporting (CMR) and Jupiter Communications said they
are entering into a strategic alliance in which Jupiter’s AdSpend Data Report
will be acquired by CMR’s new InterMedia Advertising Solutions (IAS) company.

The companies, both based in New York City, said the agreement forms a basis
for cooperation letting CMR, a tracker of traditional ad spending, strengthen
Jupiter’s position as an analyst of Internet business and advertising
strategies. Financial terms of the deal were not disclosed.

IAS’s InterWatch service was formed to monitor and report on advertising
frequency and expenditures on the Internet. CMR has been tracking Internet
advertising since 1995. Jupiter’s AdSpend Data is a source for Web ad
spending data.

Joseph Philport, president of Intermedia, and Gene DeRose, chairman and chief
executive officer of Jupiter, said the alliance would involve cooperative
ventures.

Jupiter and IAS said they will work together in transitioning the AdSpend
Data Report into the InterWatch Internet Ad Expenditure Report. IAS will
assume control of the AdSpend Data Report and expand the number of Web
sites tracked. Sites that will be tracked in the integrated service range
from Autoweek Online to Yahoolians and ZD Labs.

Orsolya Gaal, principal analyst of AdSpend, will join IAS as product manager.

Philport said, “The acquisition of AdSpend will allow IAS to significantly
expand its coverage and enhance our ability to provide accurate information
to our clients. The new service will be superior to either of the existing
services with respect to coverage, quality, richness of data and timeliness.”

DeRose said: “. . . with the strategic partnership in place we will now be
able to direct our resources to our primary businesses with the knowledge
that IAS will deliver an even more relevant product electronically to our
clients.”

CMR and IAS are VNU Marketing Information Services Companies. VNU MIS is a
subsidiary of VNU USA, which includes BPI Communications Inc., Bill
Communications Inc. and SRDS. VNU USA is owned by VNU, a Netherlands-based
international publishing and information company.
