TMP Worldwide Acquires About Work.com, StudentCenter.com

May 29, 1998

TMP Worldwide in New York City acquired About
Work and StudentCenter from independent new media company, iVillage, producer of iVillage.com: The
Women’s Network.

The deal expands TMP Worldwide’s suite of online career products and services,
adding new competencies in content and community from About Work and a large
online Internship database from StudentCenter. Financial terms were not
disclosed.

About Work (and AOL Keyword: About Work)
and StudentCenter join The Monster Board and Online Career Center as part of TMP’s
Interactive Division.

The deal also introduces approximately more than 800,000 new users to TMP’s
online network, through its new career Web sites, a new strategic alliance
with iVillage, and About Work’s anchor tenancy (Keyword: About Work) in America
Online’s Workplace Channel, which gives AOL members access to About Work’s
content and community. As part of the agreement, TMP Worldwide will assume
About Work’s Career anchor tenancy from iVillage, an AOL strategic partner.

“We’re aggressively growing our network of online branded career products and
services to meet our audiences’ evolving needs,” said Andrew J. McKelvey,
chairman and CEO of TMP Worldwide. “For career seekers, this means continually
enhancing their experience with us and building brand loyalty, and for our
clients it means providing a distinctive set of targeted advertising
opportunities across all our company-owned properties and alliance network.”

Leveraging each other’s high-traffic sites, TMP Worldwide and iVillage.com
also have formed a strategic alliance in which The Monster Board will become
the premier career partner within iVillage’s Women’s Network. The Monster
Board will also create a co-branded iVillage area within its career center.

iVillage has also granted TMP Worldwide the right to integrate sponsorship
messages about The Monster Board and OCC into iVillage’s career newsletter,
which reaches 750,000 people a week. Additionally, TMP will take over
iVillage’s existing career alliances with Netcom and MCI.

About Work, a community centered on career issues, launched on the Web and AOL
in August 1995. The addition of StudentCenter and its InternCenter will enable
TMP Worldwide’s clients to more effectively reach the critical college
marketplace. More than 60 colleges and universities use InternCenter to manage
more than 25,000 open intern positions from 10,000 of the nation’s top
employers.

TMP Worldwide is a recruitment advertising agency and operates a yellow page
advertising agency with more than 3,300 employees in 12 countries. The
company’s Internet offerings include The Monster Board, Online Career Center,
MedSearch, an online “help wanted” service
for the health care industry; and Be the Boss, a provider of information on
franchise opportunities.
