Digital River signed a distribution partnership agreement with Value America, consumer shopping site on the Internet, for the sale of products from Digital River’s software
inventory through Value America’s online store.

Value America is adding software to its consumer product offering by accessing
Digital River’s online inventory of more than 120,000 software products.
Financial terms of the agreement were not disclosed.

“Digital River has the technological savvy to seamlessly integrate their back-
end e-commerce system into our existing system,” said Monica Link, channel
manager of Value America. “We needed a partner like Digital River to provide a
large inventory of software products and, at the same time, provide us with
the ability to switch software in and out of our database as quickly as
possible. The capability to quickly respond to our customers’ buying habits
and needs by adjusting our software offerings on-the-fly is a key advantage of
working with Digital River.”

Joel Ronning, CEO of Digital River, said: “Value America sells everything from
housewares to sports and fitness products to computers and peripherals, as
well as home improvement products. With such a broad buying audience, Digital
River can offer software products from our inventory that match the top-
selling consumer products on the site at any given time. For example, if home
improvement tools are reported as the top-selling items, we can instantly
offer home improvement software titles from our inventory as featured products. . . ”

Digital River and Value America said they are implementing an “electronic drop-ship” order and delivery process, made so that Value America can manage all order and credit card processing while Digital River manages the electronic and physical distribution of the products.
