Ticketmaster OnlineCitySearch Inc. made an undisclosed
investment in the newly combined RaceGate.com and ActiveUSA.com, which will be called
ActiveUSA.com.

An online local participatory sports registration and reservation company,
ActiveUSA.com will allow consumers to book online reservations for local and
national events in as many as 60 different sporting categories through
citysearch.com local portal city guide sites.

Under the terms of the agreement, Ticketmaster-CitySearch will take a
significant minority stake in ActiveUSA.com. TMCS will also take a seat on
ActiveUSA.com’s new board of directors. ActiveUSA.com will gain TMCS as a
distribution channel for its licensed content and both companies will
integrate content into each other’s sites.

The new ActiveUSA.com will offer information for over 50,000 events and
online registration for more than 6,000 events nationwide, such as marathons
and benefit walks and races.

Customer support programs include RaceGate’s Event Directors Services, which
equips event directors with tools and services to plan, execute and promote
their unique events.

“We believe the area of online participatory sports registration and
reservations is a large and currently untapped market,” said Dan Marriott,
executive vice president of business development for Ticketmaster
Online-CitySearch.

“The addition of ActiveUSA.com’s event listings will help
strengthen our position as the premier resource of online registration and
reservation services.”

Search and registration for ActiveUSA.com events through TMCS is scheduled
to become available in the first quarter of 2000 as the RaceGate.com and
ActiveUSA.com Web sites are integrated.
