Direct marketer MySoftware Co. said it will acquire
MarketHome Inc., an e-mail campaign
management company in a $15 million all-stock transaction.

Separately, MySoftware formed a partnership with Concentric Network Corp., a provider of
value-added IP network services, to provide small- and medium-sized companies
with a complete set of Internet solutions to help them grow their business.

MySoftware will co-brand Concentric’s portfolio of Web hosting and e-commerce
services and offer them through direct marketing efforts to its registered
small business users. Concentric will provide its Web hosting and DSL
customers with MySoftware’s Internet direct marketing tools. Financial
arrangements were not disclosed.

“With this acquisition, we combine MarketHome’s market leadership in
permission-based, opt-in e-mail communication, with MySoftware’s new My
eProspects.com services,” said Gregory Slayton, CEO and president of
MySoftware.

MarketHome provides permission-based e-mail marketing services to catalogers,
including L.L. Bean, Boise Cascade Office Products, Coach, NBA, Dean &
Deluca, Joseph A. Bank and Talbots.

To date, more than one million customers have signed up to receive
promotional communications on specific topics of personal interest,
MarketHome said. MarketHome will become the e-mail marketing division of
MySoftware Company, and Jim Williams, president and CEO of MarketHome, will
become general manager of this division.

MySoftware’s Internet services are dedicated to helping businesses find new
customers via its
MyProspects.com and MyeProspects.com.
