Frontline Communications to Acquire WOWFactor

Internet Service Provider Frontline Communications Corp.
said it entered into a letter of intent to acquire WOWFactor Inc., an ISP and e-commerce
company.

Margaret McGillin, WOWFactor’s founder and president, will join Frontline as
vice president of sales and marketing, but will also maintain her current
position. Financial terms of the deal were not disclosed.

WOWFactor launched its e-commerce site in 1996, and derives revenue from
various sources, including e-commerce, advertising, ad sales, hosting,
reseller commissions and as an ISP focusing on women on the Web.

“Just as important as the acquisition, the addition of Margaret McGillin to
Frontline’s
management team will have a tremendously positive effect on the company’s
sales and marketing program,” said Stephen J. Cole-Hatchard, Frontline’s
president and CEO. “We are excited to be working with such a bright
and remarkable woman.”

WOWFactor hosts National Association of Womens Yellow Pages Publishers, Women
in Business Yellow Pages of Illinois, Women in New Media, certain chapters of
the National Association for Women Business Owners (NAWBO) and the Women’s
Campaign Fund.

Cole-Hatchard noted that Frontline’s business plan includes the expansion of
operations in three areas of the Internet industry: access, content and Web services; portal and backbone access and services; and sales and
services in the electronic commerce arena.

“This acquisition falls squarely within our plan, and strategically drives
our expansion into the Electronic Commerce market,” he said.
