Security Dynamics to Acquire Intrusion Detection

Enterprise security solutions provider Security Dynamics Technologies, Inc. today announced plans to acquire network security software publisher Intrusion Detection Inc. (IDI) for approximately $32.5 million.

Under the agreement, 784,000 shares of Security Dynamics stock will be exchanged for all outstanding shares of IDI.

IDI, a developer of network security software tools that manage enterprise-wide security, delivers products including Kane Security Analyst (KSA) software and Kane Security Monitor (KSM) software. These will now become
available as part of Security Dynamics’ SecurSight line of plug-in
enterprise security solutions that provide clients with secure access to information residing in the enterprise.

KSA is a front-line assessment tool designed to analyze security weaknesses in systems, while KSM is a system monitoring tool. KSM functionality, including audit and monitoring, will now be delivered through the SecurSight Manager product as part of a security management console.

“There are great synergies between the IDI products and our SecurSight
solutions,” said Charles R. Stuckey, Jr., chairman, president and CEO of
Security Dynamics. “By acquiring IDI, and adding intrusion detection to our family of enterprise security solutions, we are further extending the value of SecurSight to customers. No other company today is delivering as broad an offering of best-of-class enterprise security solutions.”
