Cyberplex to Acquire Saper Media

Cyberplex Inc. has executed a share exchange
agreement with the shareholders of Texas-based Saper Media Group, Inc.

Cyberplex will acquire all of the issued and outstanding shares of Saper in
exchange for approximately 3.5 percent of outstanding Cyberplex shares.

The acquisition is expected to take place on or before April 23 and is dependant on certain closing conditions including final
approval by the Toronto Stock Exchange.

“This is a defining moment for our company,” said Dean Hopkins, president and CEO of Cyberplex, Canada’s largest Internet professional services firm.

“Today, Saper Media Group and Cyberplex have come together to create a powerful team. We have the combined capacity and expertise to establish a new standard for Internet-based business solutions in Canada and the U.S.”

Saper Media Group is an Internet services firm whose clients include Dell Computer, Tivoli Systems (a division of IBM), Samsung, and Southwestern Bell.

a part of Cyberplex means we’ll be growing our staff here in Austin,” said Saper co-founder Jeri Rosen.
