E-Stamp Corp. gobbled up Infinity Logistics Corp. and Automated Logistics Corp. as part of its plan to create the most comprehensive one-stop shipping solution with end-to-end e-logistics and e-fulfillment capabilities in the industry.

Under the terms of the agreement announced late Wednesday, E-Stamp Corp. will issue a combination of cash and stock worth $7.5 million for all outstanding capital stock of the two private companies.

Robert (Bo) Ewald, president and chief executive officer of E-Stamp, said the acquisitions position E-Stamp for growth as a provider of Internet-based business-to-business mailing and shipping solutions.

E-Stamp said Infinity Logistics will provide it with technology and products developed to serve the enterprise shipping and logistics markets. E-Stamp said key products include: DigitalShipper.com, an enterprise shipping solution that integrates UPS, RPS, FedEx, USPS and most major small package and freight carriers into one customized Web site; e-Warehouse, a warehouse management system that provides receiving, inventory, reporting and shipping capability; and e-Receive, an internal delivery system for management and tracking of internal receiving and package delivery operations.

E-Stamp said the products and services will help it to aid customers in using the Web to streamline critical business processes.

Meanwhile, E-Stamp said Automated Logistics provides it with solid expertise and a successful track record in enterprise shipping and supply chain management. The company also brings to the table a base of more than 200 customers, including Sony Music Distribution, Oracle Corp., Novell, Fujitsu, Mazda, CMGI, Clorox, eToys, Intel, iPrint.com, Hitachi, Phillips Multi-Media and NEC America.
