MINNEAPOLIS, Aug. 25–Digital River , a
Commerce Service Provider, announced that it has acquired the software
services business of NetSales which provides outsourced
business-to-business (B2B) and business-to-consumer (B2C) e-commerce
services for software publishers and software retailers. The acquisition of
the NetSales Technology Group further
establishes Digital River’s
position as a leading provider of both B2B and B2C e-commerce services for
software and digital content publishers. Digital River acquired NetSales’
software services assets in exchange for 1,000,000 shares of common stock,
with a contingent earnout for an additional 350,000 shares of common stock
based on performance over the next 180 days.

ENCINO, Calif., Aug. 25–Sitestar , an
Internet holding company, announced that it has submitted a formal offer
letter to the management of Mothernature.com to
acquire all of Mothernature.com’s
outstanding shares for 75 cents per share in cash, representing a 71.4%
premium in an offer valued at approximately $11.36 million. Sitestar’s offer for Mothernature.com’s
shares will not be subject to financing or a lengthy due diligence process,
and will only contain a condition providing for an out in the event of a
material adverse change regarding Mothernature.com.

ATLANTA, Aug. 25–MedCare Technologies
and WirelessMD, a wireless connectivity solution provider for the
medical community, jointly announced the signing of a letter of intent for
WirelessMD to acquire certain
assets of RxSheets.com from MedCare Technologies. RxSheets.com
is an online pharmaceutical marketing service provider exclusively designed
for the physician, its Web site offering drug sample requests for doctors,
drug protocols and studies, and research information. This transaction is
estimated to provide MedCare Technologies with $6.5 million in
consideration. Further terms were not disclosed.

17.6 million shares of Take to
Auction common stock. The offer also provides for the divestiture of Greg Manning’s 48% owned Chinese

the consummation of the transaction, which would be distributed to Greg

announced that it has acquired Johnston’s Surplus Office Systems
Ltd, a Washington State and British Columbia-based company that
re-manufactures modular workstations for offices and produces a re-clothed
and re-painted finished product that can stand as new. The acquisition of
Surplus Office Systems enables Ableauctions.com to handle the
demands from larger companies looking to acquire very large quantities of
identical modular workstations. The purchase price was $835,000, $322,000
in cash and 68,182 shares of the Company’s common stock.
