MADRID, May 16–Terra Networks, S.A. ,
provider of Internet access and interactive content and services to the
Spanish- and Portuguese-speaking world, and Lycos , the Internet’s leading multi-brand network, today announced a
definitive merger agreement under which Terra will acquire Lycos in a stock-for-stock transaction for
$97.55 per Lycos share, or a total of approximately $12.5 billion in Terra
stock. The transaction will create the first truly global Internet company,
to be called Terra Lycos, Inc.
Upon completion of the transaction, Terra shareholders will own between 54%
and 63% of Terra Lycos, and Lycos shareholders will own the other 37% to
46% of the combined company.

announced that it has acquired Car Rental Direct.com, which has
eight existing locations in Southern California and Las Vegas and is GenesisIntermedia’s fifth
acquisition in accordance with its development business model. Augmenting
an existing Web site, the proposed Car Rental Direct.com’s site will
enable rental cars to be ordered completely online, and delivered to the
customer’s front door.

LONDON and HAMBURG, Germany, May 16–QXL.com plc announces that it proposes to merge with Germany’s Neur
Markt-listed Ricardo.de AG in a share-for-share exchange, uniting
two of the largest European online auction companies and creating a
pan-European market leader. QXL.com said
it was offering 42.6 of its own shares for each Ricardo.de share, which values Ricardo.de
at 127 euros a share or a total of 1.104 billion euros, equal to $996
million US dollars.
The combined company is expected to be called QXLricardo plc. QXLricardo
will be listed on the London Stock Exchange and the Nasdaq National Market
and will be domiciled and headquartered in London.

Hallmark Cards said it signed a definitive agreement to acquire
Minneapolis-based Gift Certificate Centre, which operates two
e-commerce sites, PremiereChoiceAward.com,
which targets the business-to-business sales incentives and recognition
business, and GiftCert.com, which
sells gift certificates directly to consumers. Terms of the deal were not

CHICAGO, May 16–Private Internet music retailer Spun.com
said it was acquired by Idealab, a creator and operator of Internet
businesses. Spun.com, founded in Chicago
in 1998, provides an online retail store for used CDs and offers more than
200,000 new music titles.
Spun.com president and co-founder Andy Grundy said Spun.com, under Idealab, could eventually have its own
IPO. Spun.com will move to Pasadena, Calif., where Idealab is based, where
Grundy will remain as president.

Inprise/Borland called off their merger on
Tuesday, ending the Canadian software developer’s tumultuous pursuit of its
largest-ever acquisition to be a Linux powerhouse, calling it off after
both companies’ stock value plummeted amid investor criticism of the deal.
The merger had come under increasing criticism because its value, which is
tied to Corel’s stock price on Nasdaq,
has shrunk 73% since the deal was announced.

NEW YORK, May 16–Online medical supply company Neoforma.com
said it is in talks to possibly scrap its $1.37 billion
deal to acquire Eclipsys and its affiliate
HEALTHvision in a mutually agreed termination of their previously
announced merger agreement without the payment of a termination fee.
On March 30, Neoforma.com said it
agreed to buy Delray Beach, Fla.-based Eclipsys for about $948 million in
stock and its closely held affiliate HEALTHvision, based in Irving,
Texas, for about $422 millio
n in stock.
