    PETAH TIKVA, Israel , Oct. 3–Gilat Satellite Networks and ZapMe! announced an agreement
    under which Gilat will make a tender
    offer to acquire for cash 51% of ZapMe!’s approximately 44.3 million
    outstanding shares at $2.32 per share. ZapMe! currently provides an
    advertising-supported, free broadband Internet access network for schools
    nationwide, using a satellite-based network. With the announcement of the
    Gilat tender offer, ZapMe! plans to begin reducing its emphasis on the free
    service business model and will re-focus on a service-fee business model
    and new markets. The transaction is valued at approximately $50 million.

    VIENNA, Va., Oct. 3–Teligent , a global
    leader in broadband communications, announced it has acquired Executive
    Conference
    , a teleconferencing service provider with next generation
    capabilities, headquartered in Wayne, New Jersey. The acquisition provides
    Teligent with market-tested expertise
    and experience to help expand its menu of online communications services.
    The stock and cash transaction is valued at $74 million with an additional
    earnout payment based on ECI’s future performance.

    NEW YORK, Oct. 3–DoubleClick , the global
    Internet advertising solutions company, announced it has entered into a
    definitive agreement to acquire NetCreations , a
    profitable company and a 100% opt-in e-mail marketing, specializing in e-mail
    address list management, brokerage and delivery. The stock-for-stock NetCreations transaction will create
    the worldwide leader in e-mail list management, allowing marketers access to
    22 million e-mail addresses. The combined company will provide both opt-in
    and double opt-in e-mail products to its client base. Under the terms of the
    agreement, DoubleClick will issue
    0.41 shares of DoubleClick common stock for each share of NetCreations
    common stock, in a transaction currently valued at $191 million.

    LONDON, Oct. 3–British online games retailer Gameplay.com
    Plc
    announced the

    purchase of an Israeli computer and
    video games publisher, Pixel Broadband Studios from U.S. group
    Take-Two Interactive Software for $50 million in
    shares, gaining technology to download games directly and play them across
    different platforms.
